1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and Sea Stone Garden Consulting Ltd. ("Company", "we", "us", or "our"), a company incorporated in Uganda with offices at Plot 33 Kira Road, Bukoto, Kampala.
By using our website, submitting an enquiry, or engaging our coaching and consulting services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
These Terms apply to all visitors to our website and all clients who engage our professional services. Where we have entered into a separate written agreement with you, that agreement shall take precedence over these Terms to the extent of any inconsistency.
2. Our Services
Sea Stone Garden Consulting Ltd. provides professional coaching and consulting services including, but not limited to:
- Communication skills coaching (individual and group)
- Leadership development programmes
- Executive mentoring
- Workplace collaboration and team facilitation
- Confidence building and professional presence coaching
- Continuous learning and L&D strategy consulting
- Keynote speaking and workshop facilitation
The specific scope, deliverables, timeline, and fees for each engagement are agreed in writing (via a Proposal, Service Agreement, or Letter of Engagement) before any work begins.
Important: Our coaching services are not a substitute for therapy, medical treatment, legal advice, or financial advice. If you require these services, please consult a qualified professional in the relevant field.
3. Client Engagement
3.1 Commencement
An engagement begins when both parties have signed the Service Agreement or Letter of Engagement, and the agreed deposit (if applicable) has been received.
3.2 Client Responsibilities
For coaching and consulting engagements to be effective, clients are expected to:
- Attend sessions punctually and prepared.
- Complete agreed assignments and reflections between sessions.
- Communicate openly and honestly with their coach or consultant.
- Provide timely feedback and information when requested.
- Respect the professional nature and boundaries of the coaching relationship.
3.3 Coaching Outcomes
While we are deeply committed to your success, we cannot guarantee specific outcomes from coaching or consulting engagements. Results depend significantly on the client's engagement, commitment, and application of learning in their professional context.
4. Payment & Fees
4.1 Fees
Our fees are as stated in the Proposal or Service Agreement for your specific engagement. All fees are quoted in Ugandan Shillings (UGX) unless otherwise specified. International clients may be invoiced in US Dollars (USD).
4.2 Payment Terms
Unless otherwise agreed in writing:
- A deposit of 50% is required to confirm an engagement.
- The balance is due before the final session or upon completion of deliverables.
- Invoices for ongoing programmes are issued monthly in advance.
- Payment is due within 14 days of invoice date.
4.3 Late Payment
Invoices unpaid after 30 days may incur a late payment charge of 2% per month on the outstanding balance. We reserve the right to suspend services for clients with overdue invoices until payment is received.
4.4 Taxes
All fees are exclusive of Value Added Tax (VAT) or other applicable taxes, which will be added to invoices where required by Ugandan law.
5. Cancellation & Rescheduling Policy
5.1 Session Cancellation by Client
- More than 48 hours' notice: Session may be rescheduled at no additional charge.
- 24–48 hours' notice: 50% of the session fee is forfeited.
- Less than 24 hours' notice or no-show: Full session fee is forfeited.
5.2 Cancellation of Programme Engagement
If a client wishes to terminate an ongoing programme early:
- 30+ days' written notice: Fees for sessions/deliverables completed are due; deposit is retained.
- Less than 30 days' notice: Fees for the current programme phase are due in full.
5.3 Cancellation by Sea Stone Garden
We reserve the right to cancel or reschedule sessions due to unforeseen circumstances (e.g. coach illness). In such cases, we will provide as much notice as possible and arrange an alternative session at no additional cost.
6. Confidentiality
Both parties acknowledge that they may share confidential information during the course of an engagement. We are committed to maintaining strict professional confidentiality in accordance with the International Coaching Federation's Code of Ethics.
We will not disclose your confidential information to third parties without your prior written consent, except where required by law or to protect your safety or the safety of others.
Clients are also asked to maintain the confidentiality of methodologies, tools, and materials shared by Sea Stone Garden during the engagement.
7. Intellectual Property
All materials created by Sea Stone Garden Consulting Ltd. — including workbooks, frameworks, slide decks, assessments, written resources, and website content — remain the intellectual property of Sea Stone Garden Consulting Ltd.
Upon payment, clients are granted a non-exclusive, non-transferable licence to use materials provided to them for their personal or internal organisational development purposes only. Reproduction, distribution, or commercialisation of our materials without prior written consent is prohibited.
8. Professional Conduct
We expect all clients to engage with our coaches and facilitators with respect and professionalism. We reserve the right to terminate an engagement, without refund of outstanding fees, if a client:
- Engages in harassing, abusive, or discriminatory behaviour toward our staff.
- Misuses or misrepresents our services or materials.
- Breaches the confidentiality provisions of these Terms.
- Fails to meet agreed payment obligations after reasonable notice.
9. Limitation of Liability
To the maximum extent permitted by Ugandan law, Sea Stone Garden Consulting Ltd.'s total liability to you for any claim arising from or related to your use of our services shall not exceed the total fees paid by you to us in the twelve months preceding the claim.
We shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, loss of business, or loss of opportunity, however caused, even if we have been advised of the possibility of such damages.
10. Disclaimer of Warranties
Our services and website content are provided "as is" without warranties of any kind, express or implied. We do not guarantee that our coaching or consulting services will produce specific results, as outcomes depend significantly on client engagement and other factors outside our control.
Website content (including blog articles and resources) is provided for general informational purposes only and does not constitute professional advice.
11. Website Use
You agree to use our website (seastonegarden.info) only for lawful purposes and in a manner that does not infringe the rights of others. You must not:
- Attempt to gain unauthorised access to our systems or data.
- Transmit any harmful, offensive, or unsolicited content.
- Use automated tools to scrape or collect data from our website without prior consent.
- Use our website or content in a way that could damage our reputation.
We reserve the right to restrict or terminate website access at our discretion.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Uganda. By using our services, you irrevocably submit to the non-exclusive jurisdiction of the courts of Uganda.
13. Dispute Resolution
We are committed to resolving any disputes fairly and promptly. In the event of a dispute:
- The parties agree to attempt resolution through good-faith negotiation within 30 days of written notice of the dispute.
- If negotiation fails, the parties may seek mediation through a mutually agreed mediator before pursuing formal legal action.
- If mediation is unsuccessful, disputes shall be resolved by the courts of Uganda.
14. Changes to These Terms
We may update these Terms from time to time. We will notify clients of material changes via email and by updating the "Effective Date" at the top of this page. Continued use of our services after notification of changes constitutes your acceptance of the updated Terms.
